Alori Health Terms of Use

Alori Health is intended for certain non-emergency health and wellness concerns. If you believe you are experiencing a medical emergency, call 911 or contact your local emergency medical provider immediately.
This Terms of Use agreement, together with Alori Health’s Privacy Policy, applies to your use of all websites, pages, tools, features, content, applications, and related services offered by Alori Health (collectively, the “Platform” or the “Services”). In these Terms, the words “Alori Health,” “we,” “us,” and “our” refer to Alori Health and its affiliated brands, products, service providers, and administrative support operations, as applicable. The words “you” and “your” refer to the individual using the Platform.
Please read these Terms carefully. They contain legally binding terms and conditions governing your use of the Platform and Services.
IMPORTANT: THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION, INCLUDING A CLASS ACTION WAIVER AND JURY TRIAL WAIVER. BY ACCEPTING THESE TERMS, YOU AGREE TO RESOLVE CERTAIN DISPUTES THROUGH INDIVIDUAL ARBITRATION RATHER THAN IN COURT.
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
I. Introduction
These Terms describe your rights and responsibilities when using the Alori Health website, platform, and related Services.
Even if you arrived at the Platform through a third-party website, affiliate, advertisement, or referral source, these Terms are entered into between you and Alori Health. You understand and agree that, except for Healthcare Services as described below, the Platform and related non-clinical services are provided by Alori Health.
By using the Platform, you consent to transact electronically with Alori Health and, where applicable, engage with independent licensed providers, pharmacies, laboratories, and related healthcare partners through electronic communications. You also agree that electronic signatures, disclosures, communications, and records have the same legal effect as paper versions.
II. Modification of Terms
We may revise these Terms at any time, in whole or in part, in our sole discretion. Changes will become effective when posted to the Platform unless otherwise stated. Your continued use of the Platform after updated Terms are posted means you accept the revised Terms.
If you do not agree to any revised Terms, your sole remedy is to stop using the Platform.
III. Description of Alori Health
You understand and agree that the Platform is intended to facilitate certain administrative, technological, and communication-related functions, including:

collecting and organizing health-related and personal information for use in provider encounters and communications;

providing administrative support related to scheduling, payments, and care coordination;

supporting coordination of prescription fulfillment, where applicable, through licensed pharmacies; and
-
providing telecommunications and technology support that enables you to access Healthcare Services from independent licensed providers and affiliated professional entities.
The Platform may collect information from you, including health history, medications, medical conditions, test results, blood pressure readings, identifying information, geographic information, and other personal or health-related details (collectively, “Your Information”). Independent licensed providers may use Your Information, in their own professional judgment, to determine whether treatment, testing, medication, or other Healthcare Services may be appropriate for you.
You authorize Alori Health to share Your Information with independent licensed providers, affiliated professional entities, pharmacies, laboratories, diagnostic companies, and other third-party healthcare partners as reasonably necessary to facilitate your use of the Services.
All Healthcare Services made available through the Platform are provided by independent licensed providers and affiliated professional entities. Alori Health does not practice medicine, provide medical care, or control the professional judgment of any provider.
You understand and agree that:

Alori Health does not directly provide Healthcare Services;

Alori Health is not a pharmacy and does not control pharmacy services;
-
providers and pharmacies are independent and solely responsible for the services they provide; and
-
you may be entering into separate relationships with third-party providers, pharmacies, pharmacists, pharmacy groups, laboratories, or other healthcare-related entities.
IV. Eligibility
To use the Services through the Platform, you must meet all of the following requirements:

You are at least 18 years old.

You reside in the United States and in a state or territory where the Services are available.

You agree to comply with these Terms and our Privacy Policy.

You have access to a compatible device, internet connection, and any software reasonably necessary to use the Platform.
Meeting these requirements does not guarantee that you will receive Healthcare Services, prescriptions, or access to any specific treatment. Independent licensed providers may determine, in their sole professional judgment, that Healthcare Services are not appropriate for you.
V. Availability
The Services are available only in certain states and may not be available in all jurisdictions. Availability may change at any time without notice.

VI. Registration, User Accounts, and User Data
Some parts of the Platform may be publicly accessible, but you may be required to register an account to use certain Services.
When you create an account or submit information through the Platform, you may provide information, content, responses, uploads, forms, records, or other data (“User Data”). You understand and agree that Alori Health may use, store, reproduce, analyze, display, disclose, and transfer User Data as needed to provide the Services, improve the Platform, support operations, conduct analytics, and comply with legal obligations.
You grant Alori Health, its service providers, successors, assigns, affiliated professional entities, and independent licensed providers a sublicensable right to use User Data for operational, administrative, analytical, developmental, and service-related purposes connected to the Platform and Services.
VII. Your Responsibilities and Acknowledgments
As a condition of using the Platform, you agree that:

all information you provide is accurate, current, complete, and truthful;

you will keep Your Information updated as needed;

your account is for your personal use only;
-
you will keep your username and password confidential;
-
you are responsible for activity that occurs under your account; and
-
you will notify us promptly of any unauthorized use or security breach.
If you fail to provide accurate or complete information, or if Alori Health reasonably suspects fraud, misuse, or inaccurate submissions, we may suspend or terminate your access to the Platform.
You understand that Healthcare Services depend on the completeness and accuracy of the information you provide. Alori Health is not responsible for consequences resulting from inaccurate, incomplete, outdated, or misleading information submitted by you.
VIII. Restrictions on Use
You may not use the Platform in any way that is unlawful, harmful, unauthorized, or inconsistent with these Terms. Without limitation, you agree not to:

use the Platform for anyone other than yourself;

violate any local, state, federal, or international law or regulation;
-
attempt to gain unauthorized access to the Platform or related systems;
-
interfere with security features or technological protections;
-
upload harmful code, malware, or disruptive software;
-
copy, scrape, harvest, reproduce, distribute, resell, or commercially exploit Platform content without authorization;

use the Platform to build a competing product or service;
-
remove proprietary notices or intellectual property markings; or
-
encourage any other person to do any of the foregoing.
Use of the Platform on a compromised, modified, or “jailbroken” device may undermine security protections and may constitute a violation of these Terms.
IX. Limited License
Subject to your compliance with these Terms, Alori Health grants you a limited, personal, revocable, non-exclusive, non-transferable license to access and use the Platform for your personal, non-commercial use only.
No ownership rights in the Platform, Services, or content are transferred to you. All rights not expressly granted are reserved.
X. Disclaimer of Limited Healthcare Services
The Platform is designed for limited health and wellness-related purposes and should not be considered complete medical advice, diagnosis, treatment, or emergency care.
Always seek the advice of your physician or other qualified healthcare provider with questions regarding a medical condition, medication, or treatment decision. Never disregard professional medical advice or delay seeking it because of something you read on the Platform.
XI. Telehealth Consent
Telehealth may involve the use of electronic communications and other technologies to enable interactions between patients and licensed healthcare professionals who are not in the same physical location.
Telehealth may offer benefits, but it also carries limitations and risks. In order to receive certain Healthcare Services, you may be required to review and agree to a separate Telehealth Informed Consent.
By using the Platform in connection with telehealth-related Services, you acknowledge and agree that Alori Health may rely on and benefit from your consent to related telehealth processes to the extent permitted by law.
XII. Payment
When you submit information or request Services through the Platform, you agree to pay all applicable fees. By entering your payment information, you authorize Alori Health, its affiliates, and its third-party payment processors to charge your payment method for amounts due.
Medical consultation fees, administrative fees, and other charges for Healthcare Services already rendered may not be refundable. Prescription products generally cannot be returned for reuse or resale, and all such sales are typically final, except as otherwise required by law or expressly stated in a separate policy.
You understand and agree that:

you are responsible for all applicable fees associated with the Services;

providers and affiliated professional entities may charge fees related to Healthcare Services;
-
your final charge may vary depending on prescribed treatment, pharmacy selection, lab services, or other service-related factors;
-
Alori Health may collect and process payment information using secure third-party processors; and
-
Healthcare Services may be withheld until payment is received or verified.
Independent licensed providers and affiliated medical professional entities available through the Platform may be out-of-network with insurance plans, including Medicaid and Medicare. You are solely responsible for charges related to Healthcare Services, prescriptions, lab services, and other items or services not otherwise covered.
XIII. Privacy
We understand the importance of privacy and confidentiality. Please review our Privacy Policy to understand how we collect, use, store, and disclose your information in connection with the Platform and Services.
XIV. Intellectual Property
As between you and Alori Health, Alori Health and its licensors own all right, title, and interest in and to the Platform, including all software, designs, text, graphics, logos, branding, interfaces, images, videos, audio, layouts, look and feel, features, and other content, as well as all related intellectual property rights.
Any feedback, ideas, or suggestions you provide may be used by Alori Health without restriction or compensation.
You may not use Alori Health trademarks, names, logos, service marks, or branding without prior written permission.
XV. Third-Party Links and Websites
The Platform may contain links to third-party websites or services. These third-party sites are not controlled by Alori Health, and we are not responsible for their content, accuracy, policies, or practices.
Your use of third-party websites is at your own risk.
XVI. Disclaimer of Warranties
THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, ALORI HEALTH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, SECURITY, RELIABILITY, COMPLETENESS, AND AVAILABILITY.
We do not guarantee that the Platform will be uninterrupted, error-free, secure, timely, or free from viruses, malware, or other harmful components.
Any information or content obtained through the Platform is used at your own risk.
XVII. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ALORI HEALTH AND ITS RELATED PERSONS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM OR SERVICES.
TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF ALORI HEALTH FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
XVIII. Indemnification
You agree to indemnify, defend, and hold harmless Alori Health and its affiliates, officers, directors, employees, contractors, licensors, service providers, and related persons from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

your violation of these Terms;
-
your misuse of the Platform or Services; or
-
your violation of any law or the rights of any third party.
XIX. Modifications to the Platform
We may modify, suspend, discontinue, or limit any aspect of the Platform or Services at any time, with or without notice.
Alori Health will not be liable for any modification, suspension, or discontinuance of the Platform.
XX. Suspension and Termination
These Terms remain in effect until terminated by you or by us. You may stop using the Platform at any time. We may suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including if you violate these Terms.
Certain provisions of these Terms survive termination, including provisions relating to intellectual property, disclaimers, limitation of liability, indemnification, arbitration, and miscellaneous matters.
Subject to applicable law, Alori Health may retain, delete, or destroy records, communications, and materials in accordance with internal policies and legal obligations.
XXI. Governing Law; Dispute Resolution; Arbitration
In the event of a dispute, you and Alori Health agree to first attempt to resolve the matter informally. If the dispute cannot be resolved informally within sixty (60) days, it will be resolved through binding arbitration on an individual basis, except where applicable law requires otherwise or where a claim qualifies for small claims court.
You and Alori Health waive the right to a jury trial and waive the right to participate in class, collective, representative, or mass actions, except to the extent expressly required by law or specifically addressed in applicable arbitration procedures.
You may opt out of arbitration within thirty (30) days of first accepting these Terms by sending written notice to support@alorihealth.com from the email address associated with your account, including your full name, address, and clear statement that you opt out of arbitration.
Unless otherwise required by law, arbitration shall be governed by the Federal Arbitration Act and administered by a mutually acceptable arbitration provider under its applicable rules. If the selected provider is unavailable, the parties will seek an alternative provider or court appointment of an arbitrator where appropriate.
This section should be reviewed and finalized by legal counsel before publication.
XXII. Copyright Complaints
If you believe copyrighted material has been improperly used on the Platform, please send a notice to support@alorihealth.com with sufficient detail for us to review your claim, including your contact information, identification of the copyrighted work, identification of the allegedly infringing content, and a statement made in good faith under penalty of perjury.
XXIII. Miscellaneous
These Terms constitute the entire agreement between you and Alori Health regarding the subject matter covered herein and supersede prior understandings relating to the same subject matter.
If any provision is found unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision shall not waive our right to enforce it later.
You may not assign your rights or obligations under these Terms without our prior written consent.
